These Terms & Conditions (“Terms”) govern access to and use of the PayCR website, platform and payment facilitation services offered under the brand name “PayCR” by Mediwin Laboratories Next Private Limited, a company incorporated under the Companies Act, 2013 (“PayCR”, “we”, “us” or “our”).
By accessing or browsing the PayCR website, registering for a PayCR account, using any PayCR service, initiating or receiving a transaction, accepting these Terms through checkbox, clickwrap, OTP-authenticated flow or other electronic means, or otherwise continuing to use PayCR, you agree to be bound by these Terms, our Privacy Policy, Refund Policy and any additional terms or mandates applicable to a particular service.
Where a person accesses or uses PayCR on behalf of a proprietorship, partnership firm, LLP, company or other business entity, such person represents and warrants that he or she is duly authorised to act on behalf of and bind that entity.
If you do not agree with these Terms, you must not use PayCR.
1. Nature of PayCR Services
PayCR is a technology-enabled business payment facilitation platform designed to facilitate payments relating to identifiable business dues, including payments between businesses in the pharmaceutical, healthcare, manufacturing, distribution, wholesale, retail and allied trade ecosystem.
PayCR may enable eligible Users to:
- make payments towards existing supplier, vendor or other business dues;
- make full or part payments against identifiable business liabilities;
- add or select Payees/Beneficiaries for permitted business payments;
- generate and share payment links or payment requests relating to an existing amount due from another business;
- view transaction status, references and payment records; and
- use other business-payment functionality made available by PayCR from time to time.
A payment link or payment request generated through PayCR represents a request to discharge an identifiable business liability. Generation or receipt of a payment link does not itself constitute initiation or authorisation of a payment. The Payer must separately review and affirmatively authorise the Transaction through the applicable PayCR payment flow.
PayCR does not provide loans, cash withdrawal facilities, general-purpose money transfer services or any facility intended to convert a Payment Instrument into cash or unrestricted funds.
PayCR may use banks, acquiring institutions, payment aggregators, payment gateways, escrow or banking arrangements, payout providers, verification providers and other Service Providers for providing the Services.
PayCR is not a party to the underlying sale, purchase, supply or other commercial arrangement between the Payer and Payee and does not itself supply the underlying goods or services.
2. Definitions
“User” means any person or business accessing PayCR and, where the context relates to a Transaction, includes the business or authorised representative using the Services.
“Payer” means the User or business entity that initiates and authorises a Transaction through PayCR.
“Payee” or “Beneficiary” means the person, proprietorship, firm, LLP, company or other business entity identified to receive the Transaction Amount.
“Transaction” means a payment instruction affirmatively initiated and authorised by a Payer through PayCR for payment of an eligible underlying business liability.
“Transaction Amount” means the amount intended to be paid towards the underlying business liability, excluding Platform Fee, taxes and other applicable payment or third-party charges unless otherwise stated.
“Business Reference” means an invoice number, bill number, challan number, ledger reference, account-statement reference, payment advice, order or supply reference or other traceable reference relating to an existing underlying business liability.
“Payment Instrument” means any supported credit card, debit card, UPI, bank account, net-banking facility, wallet or other payment method permitted through PayCR from time to time.
“Service Provider” means any bank, acquiring institution, card issuer, card network, payment aggregator, payment gateway, escrow provider, trustee, payout provider, settlement bank, verification provider, technology provider or other third party engaged in connection with the Services.
“Settlement Arrangement” means the applicable bank, escrow, payment-service, payout or other approved arrangement through which Transaction Amounts may be received, routed, reconciled, settled, refunded or disbursed, as applicable to the relevant Service.
“Platform Fee” means the fee charged and retained by PayCR for providing its Services, excluding GST and any payment-processing, banking, card-network or other third-party charges.
“Self-Financing Transaction” means a Transaction intended directly or indirectly to convert a Payment Instrument into cash or funds for the Payer or a related person rather than discharge a bona fide underlying business liability, including self-transfers, circular routing, sham transactions or similar arrangements.
3. Eligibility and Business Use
Transaction Services on PayCR are intended for legitimate business use.
A User availing Transaction Services must:
- be competent to contract under applicable law;
- where acting for an entity, be duly authorised to represent such entity;
- provide true, accurate, complete and current information;
- use PayCR only for lawful and bona fide business purposes; and
- comply with applicable laws, licences, registrations and regulatory requirements relevant to its business and Transactions.
PayCR may prescribe, modify or apply eligibility criteria, transaction limits, permitted categories and verification requirements from time to time.
PayCR may refuse registration or access to Services where the eligibility or risk requirements applicable to a User cannot be satisfactorily met.
4. Registration, KYC, KYB and Verification
PayCR may require information or documentation including mobile verification, PAN, GSTIN, business details, bank-account information, address details, identity proof, incorporation or registration records, business licences, authorised-person details and other information reasonably required for KYC, KYB, AML/CFT, fraud prevention, risk review, banking or Service Provider requirements.
The User authorises PayCR and its Service Providers to verify information furnished through lawful verification systems and third-party verification providers.
PayCR may request additional information relating to a User, Payer, Payee or Transaction, including invoices, bills, challans, ledger extracts, account statements, PAN/GST records, bank-account proof, beneficiary confirmation, drug licence, trade licence or other business or transactional documentation.
PayCR may suspend, restrict or reject access or Transactions where information is incomplete, false, inconsistent, outdated, unverifiable or otherwise raises compliance or risk concerns.
Any verification conducted by PayCR does not amount to a representation or warranty by PayCR regarding the commercial standing, creditworthiness, legitimacy or performance of any Payer or Payee.
5. Permitted Transactions
PayCR may be used only for payment of existing, identifiable and bona fide business dues.
Every Transaction must relate to an underlying liability arising from goods or services already supplied, delivered, rendered or received and must be capable of being linked to a valid Business Reference.
Advance payments that do not relate to an existing underlying business liability are not permitted.
Payments without a traceable Business Reference may be declined or subjected to additional verification.
Invoice upload may not be mandatory for every Transaction. However, PayCR may require documentary evidence of the underlying Transaction at any time.
6. Related-Party Transactions
Transactions involving a spouse, relative, affiliate, group entity, subsidiary, holding company, associate, commonly controlled entity or other related party must relate to a bona fide, identifiable and arm’s-length business transaction supported by an existing underlying business liability.
A related-party relationship does not by itself make a Transaction impermissible.
However, PayCR shall not be used for related-party transactions intended for self-financing, circular fund movement, accommodation entries, cash withdrawal, artificial routing of funds or any Transaction lacking a legitimate underlying commercial purpose.
7. Business References and Supporting Documentation
The User is responsible for ensuring that every Business Reference entered on PayCR is true, accurate, traceable and related to the relevant Transaction.
A Business Reference must not be fabricated, reused misleadingly, altered to disguise the purpose of a payment or used to justify an advance, self-financing or otherwise prohibited Transaction.
PayCR may request supporting documents before or after processing a Transaction.
Failure to provide requested documents within the period specified by PayCR may result in transaction hold, payout deferment, rejection, refund where possible, account restriction, suspension or such other action as may be reasonably required for risk, compliance or partner requirements.
8. Payee / Beneficiary Information
The User is responsible for entering, selecting and confirming correct Payee/Beneficiary details, including the account-holder name, bank-account number, IFSC and such other information as may be requested.
PayCR may conduct bank-account, PAN, GST or other verification checks directly or through Service Providers.
Such verification does not transfer responsibility for selection of the intended Payee from the User to PayCR.
Where payment is processed to an incorrect account because the User entered, selected or confirmed incorrect information, PayCR shall not be liable for the resulting loss or be obligated to reverse or refund the Transaction except where required by applicable law or where the funds are actually recovered.
9. Payment Links and Payment Requests
An eligible Payee may use PayCR to generate a payment link or request relating to an existing, identifiable business amount due to that Payee.
The Payee is responsible for ensuring that:
- the amount requested is actually due;
- the Business Reference is accurate;
- the Payer is the appropriate counterparty; and
- the request does not relate to an advance, fictitious transaction or prohibited purpose.
A Payer receiving a payment link remains free to review, reject or proceed with the request.
No payment shall be treated as authorised merely because a Payee generated or sent a payment link.
10. Payment Facilitation Authority and Additional Payee Mandates
By initiating a Transaction, the Payer appoints and authorises PayCR as its limited payment facilitation agent solely for the purpose of giving effect to the Payer's payment instruction through the applicable Service Providers and Settlement Arrangement.
Such limited authority may include, to the extent applicable to the relevant payment arrangement, transmitting payment instructions, coordinating payment processing, facilitating receipt or routing of Transaction Amounts, coordinating with Service Providers for settlement or payout, deducting disclosed fees and taxes, facilitating refunds or reversals and maintaining transaction and reconciliation records.
PayCR may engage Service Providers to perform any part of the payment processing, verification, settlement, escrow, payout, refund, risk-management or other functions necessary to complete the Transaction.
PayCR may additionally require a Payee/Beneficiary or its authorised representative to accept additional terms, declarations, mandates or a limited payment collection agency authorisation before becoming eligible to receive payments through specified PayCR Services.
Any such Payee authorisation shall be governed by the relevant mandate or agreement presented to the Payee.
Except for a limited agency expressly created under these Terms or any separate mandate, nothing in these Terms creates a partnership, joint venture, employment, franchise, fiduciary or general agency relationship between PayCR and any User, Payer or Payee.
11. Payment Instruments and Transaction Authorisation
The Payer must use a Payment Instrument which the Payer is lawfully authorised to use.
Use of a Payment Instrument belonging to another person without lawful authority is prohibited.
A Transaction authenticated through a verified PayCR account, OTP, card authentication, banking authentication, payment-provider authentication, review-page confirmation or other valid security credential shall be treated as authorised by the Payer, subject to applicable law.
The Payer is responsible for reviewing the Payee, Transaction Amount, Business Reference, applicable charges and other Transaction information before confirmation.
Once validly confirmed and submitted for processing, the payment instruction may not be cancellable or reversible as a matter of right.
12. Payment Processing, Settlement and Payout
Transactions may be processed through one or more Service Providers.
Authorisation of a Payment Instrument does not necessarily mean that payout to the Payee has been completed.
PayCR shall facilitate or coordinate payout only after the corresponding Transaction Amount has been successfully received, confirmed and made available under the applicable Settlement Arrangement.
Processing and payout timelines may depend upon banks, acquiring institutions, card issuers, card networks, payment aggregators, payment gateways, settlement arrangements, payout providers, banking hours, holidays, technical systems and risk or compliance checks.
Any settlement or payout timeline displayed on PayCR is indicative unless expressly stated otherwise.
PayCR shall not be liable for a delay caused by a Service Provider, bank, payment network, compliance review, technical failure, incorrect User information or other event beyond PayCR's reasonable control, except to the extent liability is directly attributable to PayCR and cannot lawfully be excluded.
13. Fees, Charges and Taxes
Before confirmation of a Transaction, PayCR shall display or make available the applicable Platform Fee, payment-processing charges, GST and total amount payable, to the extent applicable.
By proceeding, the User agrees to such disclosed charges.
PayCR may charge or deduct the Platform Fee, applicable taxes and other disclosed charges in the manner permitted under the relevant payment or Settlement Arrangement.
Payment-processing charges, acquiring charges, card-network charges, bank charges and other third-party charges may be imposed or retained by the applicable Service Provider.
PayCR may revise its fees or applicable limits from time to time. Any fees applicable to a particular Transaction shall be disclosed before confirmation of that Transaction.
Any tax invoice issued by PayCR in relation to its own services shall relate to the fees charged by PayCR and shall not substitute the invoice or other commercial documentation relating to the underlying transaction between Payer and Payee.
Each party remains responsible for its own GST, TDS, TCS, income tax, accounting, input-tax-credit and other statutory obligations arising from the underlying business transaction.
14. Transaction Limits and Risk Controls
PayCR and its Service Providers may impose per-transaction, daily, monthly, category-specific, Payment-Instrument-specific or User-specific limits.
Limits may vary depending upon KYC/KYB status, transaction history, business profile, Payment Instrument, risk assessment, Service Provider rules or other relevant factors.
Availability of a particular limit does not create an entitlement to transact up to that amount.
PayCR may lower limits, require enhanced verification or apply additional controls where required for risk-management, banking, Service Provider or compliance purposes.
15. Prohibited Transactions and Use
PayCR must not be used for:
- advance payments without an existing underlying business liability;
- self-transfer or funding of the User's own account;
- Self-Financing Transactions;
- cash withdrawal or cash-equivalent transactions;
- circular routing or artificial movement of funds;
- false, fabricated or misleading invoices or Business References;
- personal or non-business transfers;
- loans, investments or movement of funds disguised as payment for goods or services;
- gambling, gaming, virtual digital asset, cryptocurrency or other prohibited activity;
- transactions involving proceeds of unlawful activity;
- use of a Payment Instrument without lawful authority;
- misleading description or concealment of the true purpose of a Transaction; or
- any activity prohibited by applicable law, PayCR, a bank, card network, Service Provider or competent authority.
PayCR may introduce additional restricted or prohibited categories where required by applicable law, partner policy or risk requirements.
16. Regulated Business and Pharma/Healthcare Responsibilities
A User carrying on a pharmaceutical, healthcare or other regulated business is solely responsible for maintaining all licences, permissions, registrations and approvals required for its activities.
Where applicable, this may include drug licences, GST registration, trade licences and other statutory registrations.
PayCR does not become responsible for the regulatory status, quality, batch, expiry, pricing, legality, delivery or conformity of pharmaceutical, healthcare or other products merely because a payment relating to those products is facilitated through PayCR.
PayCR may nevertheless request such records or licences as part of transaction or business verification.
17. Hold, Review, Rejection and Reporting
PayCR may hold, delay, decline, reject, restrict, refund or reverse where technically possible, defer payout, restrict a Payee, suspend an account, seek additional information or take such other action as may reasonably be required where:
- a Transaction appears suspicious, fraudulent or inconsistent;
- a Business Reference appears false, altered or unverifiable;
- self-financing or circular routing is suspected;
- KYC/KYB or beneficiary verification is incomplete or fails;
- required documentation is not supplied;
- a chargeback, complaint or unauthorised-transaction allegation is received;
- transaction amount, velocity, pattern or behaviour raises a risk concern;
- a User breaches these Terms; or
- a bank, Service Provider, card network, regulator, court, law-enforcement agency or other competent authority requires or requests such action.
PayCR may cooperate with banks, Service Providers and competent authorities and may provide relevant information where required or permitted under applicable law.
18. Refunds, Cancellations, Failed Transactions and Chargebacks
Once a Transaction has been validly initiated and submitted for processing, the User may not cancel it as a matter of right.
A successfully processed Transaction that has been paid to the intended Payee is ordinarily final.
Refunds may be considered in circumstances including payment failure, technical failure, duplicate debit, payout failure or where the relevant funds are actually returned or made available for refund by the applicable bank, Payee or Service Provider.
The User should report any Transaction-related discrepancy, dispute or query to PayCR within 24 hours of initiation to facilitate timely investigation, subject always to applicable law and Service Provider rules.
The 24-hour reporting period is an operational reporting requirement and does not exclude any statutory right that cannot lawfully be waived or restricted.
Where a chargeback, fraud report or unauthorised-transaction claim is raised, PayCR may hold or defer payout, seek documents, restrict the relevant account or Transaction and cooperate with the applicable bank, card network or Service Provider.
Wrong Payee information supplied or confirmed by the User remains the User's responsibility.
Further details are governed by PayCR's Refund Policy, which forms part of these Terms.
19. Underlying Commercial Disputes
PayCR is not responsible for any dispute between Payer and Payee concerning:
- quality or condition of goods;
- delivery, non-delivery or short supply;
- expiry, breakage or returns;
- pricing;
- credit period;
- schemes or discounts;
- GST or other tax treatment;
- debit or credit notes;
- ledger mismatch;
- warranty;
- deficiency in services; or
- any other underlying commercial term.
Such disputes must be resolved between Payer and Payee.
Unless required by applicable law or a Service Provider process, PayCR is not required to adjudicate or become a party to such underlying commercial disputes.
20. Account Security
Users are responsible for maintaining confidentiality and security of their PayCR account, device access, OTPs, passwords, authentication credentials and Payment Instruments.
Users must not share OTPs, passwords, card credentials or authentication information with unauthorised persons.
Any activity conducted through a User's valid account or credentials may be treated as authorised by that User unless PayCR has reason to believe otherwise or applicable law requires a different treatment.
Users must notify PayCR promptly upon becoming aware of suspected unauthorised access, compromise or misuse.
21. Records, Data and Privacy
PayCR may maintain records relating to account registration, KYC/KYB, Payees, Business References, Transactions, declarations, electronic acceptances, payment and payout references, timestamps, device/browser information, risk checks and support interactions as reasonably required for providing the Services, audit, fraud prevention, dispute handling and compliance.
Information may be shared with banks, Service Providers, verification providers, professional advisers and competent authorities where necessary for providing the Services or where required or permitted by applicable law.
Processing of personal data is additionally governed by PayCR's Privacy Policy.
22. Communications
By registering for or using PayCR, the User agrees to receive communications necessary for account verification, OTP authentication, transaction processing, transaction status, fraud or security alerts, support and other service-related purposes through permitted communication channels including SMS, WhatsApp, email or telephone.
Promotional or marketing communications, where undertaken, shall be subject to applicable consent and communication requirements.
23. Suspension and Termination
PayCR may temporarily or permanently suspend, restrict or terminate access to some or all Services where PayCR reasonably suspects:
- breach of these Terms;
- fraud or misuse;
- false or misleading information;
- prohibited or Self-Financing Transactions;
- excessive chargeback or fraud risk;
- failure to provide requested documentation;
- regulatory or partner concern;
- non-cooperation with verification or investigation; or
- a direction or requirement from a bank, Service Provider or competent authority.
Pending Transactions or payouts may be held, reviewed, completed, reversed or refunded in accordance with the relevant facts, Service Provider requirements and applicable law.
Termination does not affect rights, liabilities, chargebacks, refunds, investigations or obligations relating to Transactions that occurred before termination.
24. Intellectual Property and Platform Use
The PayCR name, logo, website, software, content, graphics, design, databases and related intellectual property are owned by or licensed to Mediwin Laboratories Next Private Limited.
Users must not, without authorisation:
- copy, reproduce or commercially exploit PayCR content;
- reverse engineer, decompile or attempt to extract source code;
- interfere with the security or functioning of PayCR;
- introduce malicious code;
- use automated methods to access or scrape PayCR in an unauthorised manner;
- impersonate another person or business; or
- use PayCR in a manner that could damage or disrupt the platform or its Service Providers.
25. Third-Party Services
PayCR may contain, use or integrate functionality provided by third parties.
Availability of a Service Provider or payment method may change without notice due to commercial, technical, compliance or partner requirements.
PayCR does not control the independent systems of banks, card issuers, card networks, payment providers, telecom providers or other third parties and cannot guarantee their uninterrupted availability.
Any separate terms imposed by a Payment Instrument issuer or Service Provider may additionally apply to the User's use of that service.
26. Indemnity
The User shall indemnify and hold harmless PayCR, Mediwin Laboratories Next Private Limited and their directors, officers, employees and representatives against claims, losses, penalties, chargebacks, costs, damages and expenses arising from or relating to:
- false, fabricated or misleading information or documentation provided by the User;
- incorrect Payee or bank-account information;
- Self-Financing or prohibited Transactions;
- misuse of a Payment Instrument;
- fraud, negligence or wilful misconduct of the User;
- breach of these Terms;
- violation of applicable law or licence requirements;
- tax or accounting obligations relating to the underlying business transaction;
- disputes between Payer and Payee; or
- third-party claims arising from the User's underlying commercial transaction,
except to the extent directly caused by PayCR's own wrongful act or omission and to the extent such liability cannot lawfully be excluded.
27. Disclaimer and Limitation of Liability
PayCR shall use reasonable efforts to provide the Services but does not warrant that the platform, payment infrastructure or Service Provider systems will always be uninterrupted, error-free or continuously available.
PayCR shall not be liable for indirect, incidental, special, consequential or punitive damages, loss of profit, loss of business, loss of opportunity or loss arising from commercial disputes between Payer and Payee.
PayCR shall not be responsible for delay, failure or loss caused by bank downtime, card-network failure, Payment Instrument decline, Service Provider failure, telecommunications failure, incorrect User instructions, wrong beneficiary information, compliance review or events beyond PayCR's reasonable control.
Except for Transaction Amounts actually received and required to be paid out, returned or refunded under the applicable Settlement Arrangement, and except for liability that cannot lawfully be excluded or restricted, PayCR's aggregate liability arising out of or in connection with a particular Transaction shall not exceed the Platform Fee actually received and retained by PayCR for that Transaction.
For avoidance of doubt, payment-processing charges, acquiring charges, card-network charges, bank charges, GST and other third-party charges shall not form part of the Platform Fee for the purpose of this liability limitation.
28. Additional Agreements and Mandates
Certain PayCR Services may require acceptance of additional terms, declarations, payment mandates, beneficiary mandates, limited agency agreements or Service Provider terms.
Such additional terms shall apply to the specific Service or relationship to which they relate.
Where there is an inconsistency between these general Terms and a specific agreement expressly applicable to a particular Service or Transaction, the specific agreement shall prevail only to the extent of that inconsistency.
Electronic acceptance of such agreements or mandates may be recorded through checkbox, OTP, clickwrap or other legally permissible electronic means.
29. Modification of Terms
PayCR may modify these Terms from time to time to reflect changes in Services, law, regulatory requirements, banking or partner arrangements, risk controls or business operations.
Updated Terms shall be published on the PayCR website or otherwise communicated through a reasonable electronic method.
Continued use of PayCR after the revised Terms become effective shall constitute acceptance of the revised Terms to the extent permitted by applicable law.
30. Force Majeure
PayCR shall not be liable for delay or failure caused by circumstances beyond its reasonable control, including banking or payment-system outages, failure of telecommunications or internet services, cyber incidents, natural disasters, fire, flood, epidemic, pandemic, strike, governmental or regulatory action, war, civil disturbance or failure of a Service Provider.
31. Assignment, Severability and Waiver
PayCR may assign or transfer its rights or obligations under these Terms in connection with a restructuring, merger, acquisition, transfer of business, affiliate arrangement or Service Provider arrangement, subject to applicable law.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in force.
Failure or delay by PayCR in exercising any right shall not constitute a waiver of that right.
32. Governing Law and Jurisdiction
These Terms shall be governed by the laws of India.
Subject to applicable law, courts having competent jurisdiction at Ambala, Haryana shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the use of PayCR.
